Article 1. General Provisions

1.1. The LEMNISCATE Foundation for Development of Curative Education and Social Therapy (hereinafter referred to as the Foundation) is considered a charitable noncommercial organization without membership established by natural persons on the basis of charitable property contributions and following the charitable purposes.
The version No. 2 of the Articles of the Foundation is approved by the Board of Directors of the Foundation (Minutes of meeting Nr. 03 dd. 16.11.2002) related to the update of the Articles of the Foundation according to the Federal law On charitable activity and charitable organizations.
1.2. The Foundation shall act according to the Civil Code of the Russian Federation, Federal law On noncommercial organizations, Federal law On charitable activity and charitable organizations and other legislative acts of the Russian Federation.
1.3. Full name of the Foundation in Russian:   ( ).

Abbreviated name of the Foundation in English: LEMNISCATE Foundation.
1.4. The location of the Foundation: the city of Moscow.
1.5. The Foundation is considered a legal entity possessing separate property, it shall be liable with the above property for its commitments, on behalf of its name it shall be entitled to purchase and realize property rights, bear obligations, appear at the court and the court of arbitration as a plaintiff/ defendant.
1.6. The Foundation shall be liable for the commitments with its own property that might be a subject to a penalty according to the legislation of the Russian Federation. The Constitutors of the Foundation shall bear no responsibility for the liabilities of the Foundation; the Foundation shall bear no responsibility for the liabilities of the Constitutors.
1.7. The Foundation shall have an independent balance and shall be entitled to open settlement and other accounts at the banks (other credit bodies) inside and outside the territory of the Russian Federation.
1.8. The Foundation shall have a seal, stamps and letterheads with its name in Russian and English, as well as a badge of the Foundation (trade mark).
1.9. The time of validity of the Foundation shall be unlimited.

Article 2. Purposes and a subject of the Foundation activity

2.1. The purposes of the activity by the Foundation shall be the formation of a property on the basis of voluntary fees and other incomes complying with the current legislation, as well as the use of the above property in order to:

  • support and realize its own charitable programs and actions to assist with the all-round aid the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances, for example, the unemployed, the aged, the invalids, the minors, mentally/ physically injured and other people);
  • provide medical, professional and social rehabilitation of the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances;
  • provide conditions for personal communication and cultural development of the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances;
  • organize the interaction and the mutual aid of the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances, as well as parents, guardians and tutors of the above persons;
  • contribute to the activity in the field of prophylaxis, protection and strengthening of health of the people, propaganda of healthy way of life, improvement of morale and psychological condition of the people;
  • contribute to the realization of social, charitable, constructive, cultural, educational, scientific programs and projects, as well as promote the activity of other charitable organizations;

2.2. The subject of the activity by the Foundation shall be as follows:

  • providing the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances with feasible job and assisting their professional education, supplementary education, job placement;
  • providing the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances with permanent and temporary residence (including the formation of communities), nutrition, medical care and consumer services;
  • forming in the region of Moscow a community for residence, education, feasible job, personal communication, cultural development and rehabilitation of the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances;
  • providing the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances with social, psychological, pedagogical, medical, curative educational and other assistance in their rehabilitation;
  • establishment of non-State rehabilitation institutions as per advanced methods of Russian and foreign pedagogues in order to provide the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances with professional and social rehabilitation;
  • establishment of curative & production (artistic) workshops for professional and social rehabilitation of the persons who are not able to realize independently their rights and legitimate interests due to their physical/ intellectual features or other circumstances;
  • establishment of special (compensation) educational organizations for students with deviations in the development;
  • evolution of new forms of pedagogical activity comprising the period as from the birth of a child to professional or higher education including posterior provision of a jog and habitation place;
  • education and retraining of appropriate specialists, as well as the assistance in the above process;
  • assistance in establishing artistic, industrial, technical, architectural and other workshops, as well as agricultural farms;
  • realization of coordination projects (consolidation and coordination of the activity by natural persons and legal entities) in order to carry out the programs as per purposes and goals of the Foundation).

2.3. For the purposes of the activity the Foundation is entitled to:

  • conclude the contracts with organizations and natural persons for works and services as per the subject of the activity of the Foundation, undertake commitments, issuer power of attorney to the third parties;
  • purchase and alienate the property of the Foundation including transferring without compensation and leasing out;
  • obtain and possess credits;
  • render financial, organizational and legal assistance to individual and collective initiatives/ projects as per purposes and goals of the Foundation;
  • carry our publishing activity;
  • manufacture (produce) and distribute the copies of audio and video products on any medium, except for retail trade;
  • establish affiliates and representation offices inside and outside the territory of the Russian Federation;
  • establish noncommercial organizations with a status of legal entity, be a member of associations (units);
  • carry out business activity according to the current legislation;
  • carry out external economic activity according to the current legislation;
  • send the employees of the Foundation for business trips, training and probation to foreign countries and inside the territory of the Russian Federation, as well as receive foreign specialists and volunteers;
  • hire on contractual basis the Russian and foreign specialists in the field of culture, art and education;
  • render consulting assistance complying with purposes and goals of the Foundation;
  • take part in the international tourist activity including the development of scientific and sports tourism, as well as arrange for a charitable interchange of delegations and tourist groups;
  • arrange symposiums, seminars, business meetings, exhibitions, fairs and auctions;
  • carry out commercial, purchasing and mediation activity;
  • carry out other activities not banned with the current legislation of the Russian Federation and aimed for achieving purposes and goals as per the present Articles.

2.4. The Foundation shall duly obtain the licenses for all activities being a subject to compulsory State licensing.

Article 3. Property of the Foundation

3.1 The Foundation is considered an owner of the property received from the Foundation Constitutors or purchased. The Constitutors of the Foundation shall not reserve their rights for a property after its transfer to the ownership of the Foundation.
3.2. The Foundation is entitled to possess buildings, structures, housing resources, equipment, implements, materials, means of transport, financial funds, securities.
The Foundation is entitled to possess the institutions established by the Foundation. The institutions established by the Foundation have the right for executive management of their fixed property.
The Foundation is entitled to possess the lots as its ownership or in use without time-limit.
3.3. The sources of the property of the Foundation shall be as follows:

  • subscriptions of the Foundation Constitutors;
  • charitable contributions including funds earmarked for a special purpose (charitable grants) given by organizations and persons as financial funds or other property;
  • incomes of ex-disposal transactions including securities profit;
  • incomes of the activity related to the attraction of resources: campaign drives on attraction of charities, donors and volunteers including arrangement of cultural, entertainment, educational and other popular actions, carrying out the campaign drives on collection of voluntary contributions, auctions and lotteries according to the legislation of the Russian Federation, sales of the property and donations of the donors according to their wishes;
  • incomes from the federal budget, the budget of the Russian Federation subjects and off-budget funds;
  • incomes of legal business activity including the activity by economic organizations established by the Foundation;
  • work of volunteers;
  • other sources not banned with the legislation of the Russian Federation.

3.4. The Foundation is entitled to make in respect of its property any deals not banned with the legislation of the Russian Federation, this Articles and the wishes of the donors.
3.5. The salary paid to the administrative and management staff (the employees of the Foundation) shall not exceed 20% of financial funds spent by the Foundation within a financial year.
This limitation shall no be valid for payment to the persons taking part in the realization of charitable programs of the Foundation.
3.6. Within a year as from the moment of a contribution the Foundation shall use to the purposes of the Foundation at least 80% monetary charitable contributions, if not stipulated differently with the charitable program of the Foundation or by a donor.
Within a year as from the moment of a contribution the Foundation shall use natural charitable contributions to the purposes of the Foundation, if not stipulated differently with the charitable program of the Foundation or by a donor.
3.7. The Foundation is not entitled to transfer its property to the Foundation Constitutors on more profitable conditions than foreseen for other persons.
3.8. The Constitutors shall not reserve their rights for a property transferred to the Foundation. The Constitutors shall not use the property of the Foundations to their own interest.
3.9. The incomes of the business activity of the Foundation shall be used for the purposes of the Foundation as per the present Articles and are not to be transferred to the Constitutors.
3.10. The payments to a budget shall be effected by the Foundation as per order and in sum according to the legislation.

Article 4. Constitutors (Members) of the Foundation

4.1. The Constitutors of the Foundation shall be legal entities and natural persons taken a decision on the establishment of the Foundation, set the goals of the activity and approved the Articles of the Foundation.
After a duly State registration of the Foundation the Constitutors of the Foundation shall automatically become the Members possessing all appropriate rights and obligations.
4.2. Any person has the right to be a Member of the Foundation, if approved by the Board of Directors of the Foundation. To get a Member a natural person shall submit an application, a legal entity  a decision of its managing body.
The decision on a membership is considered taken, if approved by 2/3 of the votes attending the meeting of the Board of Directors.
4.3. The Constitutors (Members) of the Foundation are entitled to:

  • take part in the elaboration and realization of programs and actions to be conducted by the Foundation;
  • take part in establishing the bodies of the Foundation;
  • take part in managing the Foundation activities as per order specified in the present Articles;
  • submit to the bodies of the Foundation a proposal related to any point of its activity;
  • obtain the required information on the activity of the Foundation including access to the accounts, reports and other documents of the Foundation;
  • use marks and symbols of the Foundation as per order set by its bodies;
  • cede their rights and obligations to a third party by consent of other Members.
  • leave the Foundation at any time, independently on the consent of other Constitutors (Members).

Should the Foundation be left by all the Constitutors (Members), it shall be liquidated as per order specified in the present Articles.
4.4. The Constitutors (Members) of the Foundation shall undertake to:

  • contribute to the property of the Foundation as per order fixed by the bodies of the Foundation;
  • follow the present Articles, carry out the decisions by the Board of Directors of the Foundation;
  • take part in the activity of the Foundation as per order specified in the present Articles;
  • render financial and other assistance to the Foundation;
  • avoid any actions that may result in moral or financial damages to the activity of the Foundation;
  • inform in writing the Board of Directors of the Foundation on his resignation intent one month prior to leaving;
  • render every kind of assistance to fulfill the activity of the Foundation stipulated in the present Articles.

4.5. Should a Constitutor (Member) of the Foundation break any provision of the present Articles, he shall be expelled from the Foundation, provided that such a decision was taken by 2/3 members of the Board of Directors attending this meeting.

Article 5. Bodies of the Foundation

5.1. The Foundation shall have the following bodies:

  • Supreme managing body  Board of Directors of the Foundation.
  • Sole executive  President of the Board of Directors of the Foundation.
  • Supervision body  Guardian Council.
  • Control & auditing body  Audit Committee (Auditor).

Article 6. Board of Directors of the Foundation

6.1. The Board of Directors of the Foundation is considered a supreme collective managing body of the Foundation in charge of achieving the purposes and goals of the Foundation.
The Board of Directors of the Foundation shall consist of its Constitutors (Members).
6.2. The meetings of the Board of Directors shall be ordinary and extraordinary. An ordinary meeting shall be called by a President of the Board of Directors as required, but at least once per three months. An extraordinary meeting shall be called by a President of the Board of Directors, Auditing Committee or Guardian Council.
6.3. The meetings of the Board of Directors shall be attended by the Constitutors (Members) or their authorized representatives. The representatives of the Constitutors (Members) shall act according to their powers specified in a power of attorney in writing.
A President of the Board of Directors shall take part in voting with the right of casting vote, except for meetings with an agenda on the pre-term dismissal of the President of the Board of Directors and approval of the reports on the activity of the Foundation.
6.4. A Chairman of the Guardian Council of the Foundation is entitled to attend a meeting of the Board of Directors with the right of advisory vote.
6.5. The competence of the Board of Directors shall include:

  1. approval of the Articles, proposing amendments and addenda to the Articles;
  2. admission and expulsion of the members of the Foundation;
  3. election of a President of the Board of Directors and his pre-term dismissal;
  4. formation of Guardian Council;
  5. appointment of the Auditing Committee (Auditor);
  6. approval of charitable programs and plans of the activity of the Foundation;
  7. approval of an annual plan, a budget, making alterations to the above plan/ budget;
  8. approval of an annual report on the activity of the Foundation and annual account balance;
  9. setting an audit of the Foundation, approval of an auditor of the Foundation;
  10. approval of decisions taken by the Guardian Committee;
  11. taking decisions on the establishment of commercial and noncommercial organizations, on the membership in the above organizations, opening affiliates and representation offices of the Foundation;
  12. taking decisions on submitting a liquidation application to a court.

6.6. The number of the members of the Board of Directors exceeding the half shall form a quorum required to hold a meeting.
The decisions of the Board of Directors shall be taken by a majority vote of the persons present. The decisions on the agendas stipulated in the clauses 1, 2, 3, 11, 12, paragraph 6.5 shall be taken by 2/3 votes of the total number of the members of the Board of Directors.

Article 7. President of the Board of Directors of the Foundation

7.1. The activity of the Foundation shall be presided by the President of the Board of Directors. The President of the Board of Directors shall be appointed by the Board of Directors for the period of 5 years.
The President of the Board of Directors of the Foundation shall act according to a concluded labour contract stipulating his rights and commitments, his responsibility and the procedure of cessation of the powers by the President of the Board of Directors of the Foundation as per labour legislation of the Russian Federation. The labour contract with the President of the Board of Directors shall be signed on behalf of the Foundation by an authorized member of the Board of Directors of the Foundation.
7.2. The competence of the President of the Board of Directors of the Foundation shall comprise solving all the problems related to the management of the current activity of the Foundation, except for problems included in the competence of the Board of Directors, Guardian Council and Audit Committee (Auditor).
7.3. The President of the Board of Directors of the Foundation:

  • shall represent the Foundation before the State authorities, Russian and foreign legal entities and natural persons;
  • shall head the Board of Directors, arrange its functioning and sign the resolutions/ decisions of the Board of Directors;
  • shall assure the fulfillment of the decisions taken by the Board of Directors of the Foundation and the recommendations of the Guardian Council;
  • shall act on behalf of the Foundation without power of attorney;
  • shall represent the interests of the Foundation before the State authorities, Russian and foreign legal entities and natural persons;
  • shall use the property of the Foundation;
  • shall conclude the contracts and other deals on behalf of the Foundation, issue the powers of attorney;
  • shall solve problems on financing the current activity;
  • shall have the right to sign financial and bank documents;
  • shall raise a clam and bring a suit on behalf of the Foundation to organizations and persons;
  • shall approve the list of members of staff, the structure and salary payment to the employees of the Foundation;
  • shall conclude labour contracts with the employees of the Foundation, take incentive measures and impose a penalty;
  • shall issue orders and give instructions compulsory to all employees of the Foundation
  • shall guarantee the observation of the requirements of the legislation and State authorities related to keeping and submitting the accounts of the Foundation, as well as record-keeping of the Foundation and archiving.

7.4. The deals closed by the President of the Board of Directors on the disposal of the property and monetary funds of the Foundation for the amounts exceeding the limits fixed by the Board of Directors shall be approved by the Board of Directors of the Foundation.
7.5. While executing his rights and commitments the President of the Board of Directors shall act in the interests of the Foundation, rationally and conscientiously.
7.6. The President of the Board of Directors shall bear responsibility to the Foundation for damages and losses arisen due to his fault (wrong actions or inactivity), if not stipulated otherwise in the federal laws.

Article 8. Guardian Council of the Foundation

8.1. In order to control the activity of the Foundation the Board of Directors shall establish a Guardian Council. Political (public) figures, statesmen, representatives of the State, public and other noncommercial authorities/ associations, businessmen, scientists, cultural and art workers, mass media people and other persons interested in achieving by the Foundation its purposes and goals as per these Articles shall obtain personal invitations to act as members of the Guardian Council.
8.2. After the receipt of a written consent to take part in the activity of the Guardian Council the President of the Board of Directors of the Foundation shall submit a candidate to the approval of the Board of Directors.
8.3. The Guardian Council shall consist of the odd number of members, but not less than three.
8.4. A membership of the Guardian Council shall be ceased:
on the members initiative according to the written application sent to the Board of Directors;
according to the decision of the Board of Directors to expel a certain member taken due to his inactivity or lack of interest in the work as a member of the Guardian Council.
8.5. The Guardian Council:

  • shall control an observation by the Foundation of the current legislation and the provisions of the present Articles;
  • shall control the procedure on taking the decisions and their realization;
  • shall control the end use of the property and the funds of the Foundation;
  • shall further attraction of the property (funds) in order to achieve the purposes of the Foundation as per these Articles.

8.6. The Guardian Council shall be headed up by a Chairman.
8.7. The ordinary meetings of the Guardian Council shall be held at least once per year.
The extraordinary meetings of the Guardian Council shall be called on the initiative of the Chairman of the Guardian Council or at least by 50% members of the Guardian Council.
The members of the Guardian Council shall be notified of the time of an extraordinary meeting by the Chairman of the Guardian Council at least 8 days prior to the meeting.
8.8. A meeting of the Guardian Council is considered authorized, if at least 50% members of the Guardian Council attend this meeting.
A decision of the Guardian Council of the Foundation shall be taken by a simple majority vote of its members and signed by the Chairman of the Guardian Council.
Every member of the Guardian Council shall have one vote.
Should the number of votes be equal, the vote of the Chairman of the Guardian Council shall be considered casting.
8.9. The competence of the Guardian Council shall include the following:

  • considering the results of annual audits of the activity by the Foundation;
  • considering the annual reports on the activity by the Foundation and annual accountant balance;
  • listening to a report by the President of the Board of Directors of the Foundation, by the Head of the Audit Committee (Auditor) of the Foundation;
  • informing the mass media on the activity of the Guardian Council;
  • make suggestions to the bodies of the Foundation.

8.10. According to the results of the points considered by the Guardian Council within the limits of its competence, the Guardian Council shall make recommendations and conclusions being a subject to a compulsory examination by the concerned bodies of the Foundation.
8.11. A meeting of the Guardian Council is considered authorized, if more than 50% members of the Guardian Council attend this meeting. A decision of the Guardian Council of the Foundation shall be taken by a majority vote of the persons present.
8.12. The Guardian Council of the Foundation shall act on a voluntary basis. The expenditures of the members of the Guardian Council of the Foundation directly related to their participation in the functioning of the Guardian Council might be compensated according to the decision of the Board of Directors of the Foundation due to the funds of the Foundation.

Article 9. Accounts and reports of the Foundation

9.1. The Foundation shall keep accounts and statistic reports according to the legislation of the Russian Federation. Financial results of the activity of the Foundation shall be fixed on the basis of an account report. A financial year of the Foundation is equal to a calendar year.
9.2. The President of the Board of Directors and the Chief Accountant shall bear full responsibility for accuracy and veracity of the information on the activity of the Foundation to be submitted to the bodies of State statistics and tax authorities (other authorities), as well as to the Board of Directors and the Guardian Committee of the Foundation according to the current legislation.
9.3. The Foundation shall involve the audit organizations in order to audit and approve the annual and current financial accounts.
9.4. The Foundation shall bear full responsibility for the safety of the documents (management, financial & economic, staff documents) according to the current legislation.
9.5. The Foundation shall annually provide a proper State registration body (the body registered this Foundation) with a report on its activity comprising the data on the following:

  • financial & economic activity confirming the observation of the legal requirements on the use of the property and expenditures of the Foundation funds;
  • members of the Board of Directors of the Foundation;
  • composition and contents of charitable programs of the Foundation (list and description of the specified programs);
  • contents and results of the activity of the Foundation;
  • breaches of the requirements specified in the present Federal law found out while auditing by the tax authorities and the measures taken for their elimination.

9.6. The annual report shall be submitted by the Foundation to the proper State registration body by the date of submitting an annual report on the financial & economic activity to the tax authorities.
9.7. The proper State registration body shall provide an open access to the annual reports of the Foundation including mass media.
9.8. The Foundation shall provide an open access to its annual reports including mass media. The funds spent for the publishing of annual report and the information on the activity of the Foundation shall be considered spent for charitable goals.
9.10. The information on the volume and the structure of incomes of a charitable organization, as well as the data on its property, expenditures, number of the employees, their salary and involving the volunteers shall not be considered a commercial secret.

Article 10. Affiliates and representation offices of the Foundation

10.1. The Foundation is entitled to establish the affiliates and open the representation offices inside the territory of the Russian Federation according to the requirements of the legislation of the Russian Federation.
The Foundation shall establish the affiliates and open representation offices inside the territories of foreign states according to the legislation of the above states, if not stipulated otherwise by international contracts of the Russian Federation.
10.2. The affiliates and representation offices shall carry out their activity on behalf of the Foundation that shall be responsible for their activity. The affiliates and representation offices shall not be considered legal entities. The affiliates and representation offices shall be provided by the Foundation with the property and shall act according to the regulations approved by the Board of Directors.
10.3. The property of the affiliates and representation offices shall be counted on their separate balance and on the balance of the Foundation.
10.4. The managers of the affiliates and representation offices shall be appointed by the Board of Directors and shall act according to the power of attorney issued by the President of the Board of Directors.
The managers of the affiliates and representation offices are entitled to hire and dismiss the employees of the affiliates and representation offices.

Article 11. Audit Committee (Auditor) of the Foundation

11.1. An Audit Committee consisting of 3 persons or an Auditor shall be considered a Control & auditing body of the Foundation. The Audit Committee shall be elected by the Board of Directors for 5 years.
The members of the Board of Directors, Guardian Council and the employees of the Foundation shall not be the members of the Audit Committee or the Auditor.
11.2. The activity of the executive bodies of the Foundation shall be audited by the Audit Committee or the Auditor by request of the Board of Directors, Guardian Council or on its/ his own initiative.
The Audit Committee (the Auditor) is entitled to demand from the officials of the Foundation all required materials, account or other documents and personal comments.
The Audit Committee (the Auditor) shall submit the results of its (his) audits to the Board of Directors and Guardian Council of the Foundation.
11.3. The Audit Committee (the Auditor) shall submit an annual report on the activity of the Foundation to the Board of Directors of the Foundation drawn up according to the documents provided by the Board of Directors and the results of the audits.
The report shall be submitted not later than one month after the termination of the financial year.
11.4. Should any threat to property interests of the Foundation arise or should any abuses by the employees of the Foundation be found out, the Audit Committee (the Auditor) shall demand to call an extraordinary meeting of the Board of Directors.

Article 12. International relations of the Foundation

12.1. In order to achieve the goals of the Foundation as per these Articles the Foundation shall establish relations with Russian, foreign and international legal entities and natural persons including charitable organizations with the objects similar to the objects of the Foundation.
For the above purpose the Foundation shall conclude the proper cooperation agreements, among them the contracts for common realization of charitable programs, projects etc. on the mutually agreed conditions.
12.2. The Foundation is entitled to merge with other Russian, foreign and international charitable organizations into associations (units) in order to extend their opportunities for achieving the purposes and goals as per these Articles.

Article 13. Reorganization and liquidation of the Foundation

13.1. The activity of the Foundation shall be ceased by dint of reorganization or liquidation.
13.2. The decision on the reorganization of the Foundation shall be taken by 2/3 votes of the members of the Board of Directors. The reorganization of the Foundation shall be caused by a merger, amalgamation, joining, division or detachment. Property rights and commitments of the Foundation shall be transferred to its successors. The Foundation shall not turn into economic company or association.
13.3. The Foundation shall be considered reorganized, except for cases of joining reorganization, as from the date of State registration of newly established organizations.
Should the Foundation be reorganized by joining to any other organization, the Foundation shall be considered reorganized as from the date of the cessation record in a Common State register.
13.4. The liquidation decision shall be taken by a court according to an application of the Board of Directors of the Foundation or other body in charge of State registration of legal entities, institutions of off-budget funds or a public prosecutor.
13.5. The Foundation shall be liquidated by a liquidation committee appointed by the court as per order and in terms fixed by the court.
13.6. The property of the Foundation left after the satisfaction of the creditors claims shall be used for charitable purposes specified in the present Articles.
13.7. All documents of the Foundation (management, financial & economic, staff and other documents) shall be handed over to a legal successor or, if absent, to the State archive institutions.

Article 14. Amendments and addenda to the Articles of the Foundation

14.1. All amendments and addenda to the Articles of the Foundation shall be done according to a decision by the Board of Directors of the Foundation taken by 2/3 votes of the members of the Board of Directors and are to be registered at a body in charge of State registration of legal entities as per order and terms valid for the registration of the Articles of the Foundation.
